Jotwai — End User License Agreement Version 1.0 Copyright (c) 2026 iA Group Co., Ltd. All rights reserved. This Agreement governs your use of the Jotwai software ("the Software"). By installing or using the Software you agree to these terms. If you do not agree, do not install or use it. ------------------------------------------------------------------------------- 1. DEFINITIONS ------------------------------------------------------------------------------- "Personal Use" means use by a natural person for their own purposes — including private use, study, and work carried out by that person alone as an independent professional or freelancer, even where they are paid for that work. "Organizational Use" means any use by or on behalf of a company, partnership, government body, educational institution, non-profit or other organization, including use by its employees, officers or contractors in the course of that organization's activities. "Commercial License" means a paid licence issued by iA Group Co., Ltd. permitting Organizational Use. ------------------------------------------------------------------------------- 2. PERSONAL USE — FREE ------------------------------------------------------------------------------- iA Group Co., Ltd. grants you a perpetual, worldwide, non-exclusive, non- transferable licence to install and use the Software for Personal Use, free of charge, on any number of devices that you own or control. Students and educators may use the Software free of charge for study and teaching. ------------------------------------------------------------------------------- 3. ORGANIZATIONAL USE ------------------------------------------------------------------------------- 3.1 Evaluation. An organization may install and use the Software free of charge for the purpose of evaluating it, for up to thirty (30) days. 3.2 Commercial License required. Continued Organizational Use after the evaluation period requires a valid Commercial License. 3.3 What a Commercial License includes. Terms are set out in the applicable order or agreement, and ordinarily cover the right of Organizational Use, technical support, and a tax invoice issued by iA Group Co., Ltd. 3.4 To obtain one, contact jotwai@iagroupcompany.com. ------------------------------------------------------------------------------- 4. RESTRICTIONS ------------------------------------------------------------------------------- You may not: (a) sell, rent, lease, sublicense, or redistribute the Software, or make it available to third parties as a service; (b) modify, adapt, translate, decompile, disassemble or reverse engineer the Software, except to the extent this restriction is prohibited by applicable law; (c) remove, obscure or alter any copyright, trademark or other proprietary notice; or (d) use the Jotwai name or logo in a way that suggests endorsement of, or affiliation with, your products or organization. Nothing in this Agreement restricts your rights in the documents and other files you create with the Software. Those remain entirely yours. ------------------------------------------------------------------------------- 5. OWNERSHIP ------------------------------------------------------------------------------- The Software is licensed, not sold. iA Group Co., Ltd. and its licensors retain all right, title and interest in and to the Software, including all intellectual property rights. No rights are granted except those expressly stated here. The Software may include third-party components supplied under their own licence terms; those terms continue to apply to those components. ------------------------------------------------------------------------------- 6. PAID FEATURES ------------------------------------------------------------------------------- Some features may be offered only under a paid plan or subscription. Where a feature is made available free of charge during a beta or introductory period, that availability is temporary and may change in a later release. ------------------------------------------------------------------------------- 7. NO WARRANTY ------------------------------------------------------------------------------- THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. You are responsible for maintaining backups of your data. The Software reads and writes files on your device; you should verify that it behaves as you expect before relying on it for important work. ------------------------------------------------------------------------------- 8. LIMITATION OF LIABILITY ------------------------------------------------------------------------------- To the maximum extent permitted by applicable law, iA Group Co., Ltd. shall not be liable for any indirect, incidental, special or consequential damages, or for any loss of data, profits or business, arising out of or in connection with the Software. iA Group Co., Ltd.'s total aggregate liability under this Agreement shall not exceed the amount you paid for the Software in the twelve (12) months preceding the event giving rise to the claim. Nothing in this Agreement excludes liability that cannot be excluded by law. ------------------------------------------------------------------------------- 9. TERMINATION ------------------------------------------------------------------------------- This licence terminates automatically if you breach its terms. On termination you must stop using the Software and remove it from your devices. Sections 4, 5, 7, 8 and 10 survive termination. ------------------------------------------------------------------------------- 10. GOVERNING LAW ------------------------------------------------------------------------------- This Agreement is governed by the laws of the Kingdom of Thailand, and the courts of Thailand shall have jurisdiction over any dispute arising from it. ------------------------------------------------------------------------------- 11.
